1. Agreement to Terms

By accessing or using ShopFlow ("we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these Terms, you may not access or use our services.

These Terms constitute a legally binding agreement between you and ShopFlow. Please read these Terms carefully before using our services.

2. Description of Services

ShopFlow provides a Software-as-a-Service (SaaS) e-commerce platform that enables sellers to create and manage online stores. Our services include:

  • E-commerce platform access (free of charge)
  • Store setup and configuration
  • Domain registration and management
  • Database hosting and management
  • Payment processing integration
  • Order management and fulfillment tools
  • Customer support and technical assistance

3. Account Registration and Eligibility

To use ShopFlow services, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Be responsible for maintaining the confidentiality of your account credentials
  • Notify us immediately of any unauthorized use of your account

Store Creation: Stores are created exclusively by ShopFlow administrators. Sellers cannot create stores directly through the platform. To request a store, sellers must contact ShopFlow at support@braintisa.com.

4. Pricing and Payment Terms

4.1 Platform Access

Access to the ShopFlow e-commerce platform is provided free of charge. There are no monthly subscription fees for platform access.

4.2 Setup Fee

A one-time setup fee of LKR 8,000 is required for store creation. This fee covers:

  • Domain registration and initial setup
  • Database hosting configuration
  • Initial store configuration and setup
  • Technical onboarding assistance

The setup fee is non-refundable under any circumstances, as detailed in our Refund Policy.

4.3 Domain Registration and Renewal

Domain names are registered and renewed on an annual basis. Sellers are responsible for remitting payment to ShopFlow for domain renewal fees. ShopFlow will then process the payment to the domain registrar on your behalf.

Important: Domain renewal fees must be paid in advance of the renewal date. Failure to pay domain renewal fees may result in:

  • Domain expiration
  • Loss of domain ownership
  • Suspension of store services
  • Potential loss of website traffic and business

Domain renewal fees are non-refundable once paid. Sellers must ensure timely payment to maintain domain registration.

4.4 Per-Order Transaction Fee

A transaction fee of LKR 30 is charged for each order processed through the platform. This fee is automatically deducted and is non-refundable, regardless of order outcome (cancellation, refund, etc.).

A minimum fee of LKR 30 applies per month, even if no orders are processed during that month.

4.5 Payment Methods

Payments can be made through the methods accepted by ShopFlow, including but not limited to bank transfers, online payment gateways, and other approved payment methods. All payments must be made in Sri Lankan Rupees (LKR) unless otherwise specified.

5. Seller Responsibilities

As a seller using ShopFlow, you agree to:

  • Provide accurate product information and pricing
  • Maintain adequate inventory levels
  • Process and fulfill orders in a timely manner
  • Handle customer inquiries and support requests
  • Comply with all applicable laws and regulations
  • Pay all fees when due, including domain renewal fees
  • Maintain the security of your account
  • Not use the platform for illegal or fraudulent purposes
  • Respect intellectual property rights
  • Not engage in any activity that disrupts or interferes with the platform

6. Prohibited Activities

You agree not to:

  • Use the platform for any illegal purpose or in violation of any laws
  • Infringe upon intellectual property rights of others
  • Upload malicious code, viruses, or harmful software
  • Attempt to gain unauthorized access to the platform or other accounts
  • Engage in fraudulent, deceptive, or misleading practices
  • Spam, harass, or abuse other users
  • Reverse engineer, decompile, or disassemble the platform
  • Use automated systems to access the platform without permission
  • Interfere with or disrupt the platform's operation
  • Resell or sublicense access to the platform

7. Intellectual Property

The ShopFlow platform, including its software, design, logos, and content, is owned by ShopFlow and protected by intellectual property laws. You retain ownership of your store content, products, and customer data.

By using ShopFlow, you grant us a license to use, display, and distribute your store content as necessary to provide our services, including for marketing and advertising purposes as described in our Privacy Policy.

8. Data and Database Backups

ShopFlow maintains regular backups of store databases for disaster recovery purposes. However, sellers are responsible for maintaining their own backups of critical data.

Database Backup Requests: Customers may request a database backup of their store data at any time by contacting support@braintisa.com. We will provide the backup within 30 days of the request.

ShopFlow is not responsible for data loss resulting from seller actions, third-party services, or circumstances beyond our reasonable control.

9. Service Availability and Modifications

ShopFlow strives to maintain high service availability but does not guarantee uninterrupted or error-free service. We reserve the right to:

  • Modify, suspend, or discontinue any aspect of the service
  • Perform maintenance and updates
  • Restrict access to the service for security or legal reasons
  • Change features, functionality, or pricing with reasonable notice

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting us. Upon termination, you will remain responsible for any outstanding fees, including domain renewal fees that have been paid.

10.2 Termination by ShopFlow

We may terminate or suspend your account immediately, without prior notice, for:

  • Violation of these Terms
  • Non-payment of fees
  • Fraudulent or illegal activity
  • Abuse of the platform or other users
  • Any other reason we deem necessary to protect our interests

10.3 Effect of Termination

Upon termination, your right to use the platform will immediately cease. We may delete your account and data, subject to our data retention policies and legal requirements. No refunds will be provided upon termination, except as required by law.

11. Limitation of Liability

To the maximum extent permitted by law, ShopFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use the platform
  • Any unauthorized access to or use of our servers or data
  • Any interruption or cessation of transmission to or from the platform
  • Any bugs, viruses, or other harmful code
  • Any errors or omissions in any content
  • Any loss or damage incurred as a result of your use of the platform

12. Indemnification

You agree to indemnify, defend, and hold harmless ShopFlow, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the platform
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your products, services, or content

13. Dispute Resolution

Any disputes arising from these Terms or your use of ShopFlow shall be resolved through good faith negotiation. If a dispute cannot be resolved through negotiation, it shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Sri Lanka, without regard to its conflict of law provisions.

15. Changes to Terms

ShopFlow reserves the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the platform after such changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and ShopFlow regarding the use of our services and supersede all prior agreements and understandings.
